This study examined the effect of riil earnings management on firm value with Good Corporate Governance as a moderating variable. This research was an explanatory research and this research examined to effect riil earnings management with GCG as moderation on firm value. The population was manufacturing companies listed on the Indonesia Stock Exchange in 2010-2015. The sampling method used purposive sampling method. This research variable were Riil Earnings Management. The results showed that riil earnings management from operating cash flow, from production costs and from discretionary costs didn’t have a effect on firm value. Quality auditors had significant effect on firm value. Independent commissioners had a significant influence on the value of the company. Institutional ownership had a significant effect on firm value. Management ownership didn’t have a effect on firm value.
